These Terms and Conditions (“Terms”) shall govern the automated deduction program (“Program”) provided to you by Delivery Hero Logistics Philippines, Inc. (“DHLPI”) in collaboration with Delivery Hero Philippines, Inc. (“foodpanda”).
By enrolling in the Program, you confirm that you have read, understood, and accepted these Terms.
1. TERMS OF USE
1.1. DHLPI, in collaboration with foodpanda, shall make available an automated deduction program to enable you to have a better cash flow while having a hassle-free experience of paying off your loan from your selected partner financial institution (“Lender”).
1.2. To be able to enroll in the Program, you must:

1.4. If you enroll in the Program, you authorize DHLPI to deduct the daily amortizations from your daily gross payout. You also agree to be bound until the entire loan amount, including interests, penalties, and other fees is fully settled (“Lock-In Period”). During the Lock-In Period, you shall not be allowed to opt-out of the Program unless you file the appropriate opt-out request via this form and such opt-out request is expressly acknowledged by DHLPI. You shall be deemed to have opted-out of the Program on the date of the email/acknowledgment of DHLPI.
1.5. DHLPI shall have the right to amend, from time to time and without notice, the eligibility requirements and the benefits under the Program.
2. DHLPI’S and FOODPANDA’S OBLIGATIONS
2.1. DHLPI shall directly deduct the daily amortization from your payout and, through foodpanda, transfer the amortization to the Lender the amount due arising out of the loan agreement duly executed by you and the Lender.
3. TERM & TERMINATION
3.1. The validity of these Terms shall commence from the date of your acceptance of these Terms and shall continue unless terminated in accordance with these Terms.
3.2. The Terms may be terminated by DHLPI for convenience upon giving you not less than thirty (30) days’ prior written notice.
3.3. After the Lock-In Period, you may terminate the Terms for convenience upon giving DHLPI not less than thirty (30) days’ prior written notice.
3.4. DHLPI, in its sole discretion, has the right to terminate the Terms immediately if you violate or breach any of the Terms.
4. REPRESENTATIONS & WARRANTIES
4.1. You acknowledge and agree that the Program is provided on an “as is” and “as available” basis, and that your use of or reliance upon the Program is at your sole risk and discretion. We do not warrant or represent that the Program shall be provided in a manner which is secure, timely, uninterrupted, error-free, free of technical difficulties or defects.
4.2. You acknowledge and agree that notwithstanding anything to the contrary provided in these Terms: (a) DHLPI is not a guarantor, surety, and/or a party to the loan agreement that you execute with the Lender. Thus, any dispute or issues arising from the loan agreement, and the use/access to the features of the Lender’s mobile application, if any, including but not limited to, account breach, technical errors, transaction issues, commissions generated from the income generating functionalities, and general application usability issues, must be resolved directly with the Lender; (b) DHLPI shall not be liable for any delay, claim, loss or damage which results from your, your employees, agents or subcontractor, or third-party’s breach of any term of these Terms and/or fraud, negligence, default, omission or action; and (c) DHLPI reserves the right to vary or amend these Terms, without notice, or withdraw or discontinue the Program at any time without any notice or liability to you or any party.
4.3. You represent and warrant that:

4.5. You shall be solely liable for any loss or damage suffered by DHLPI, its representatives, agents and affiliates or any third party as a result of any breach of these representations and warranties.
5. LIMITATION OF LIABILITY
5.1. To the extent permitted by law, DHLPI (which shall include its employees, directors, agents, representatives, affiliates and parent company) excludes all liability (whether arising in contract, in negligence or otherwise) for loss or damage which you or any third party may incur in connection with the Program and any website linked to our platforms and any content or material posted on it. DHLPI, its subsidiaries and affiliates, (“DHLPI Entities”), and their respective agents, representatives, and service providers shall not be liable for any indirect, special, incidental, consequential, or exemplary damages arising from your use of the Program or for any other claim related in any way to your use of the Program. These exclusions for indirect, special, consequential, and exemplary damages include, without limitation, damages for lost profits, lost data, loss of goodwill, work stoppage, computer failure, or malfunction, or any other commercial damages or losses, even if the DHLPI Entities, their agents, representatives, and service providers have been advised of the possibility thereof and regardless of the legal or equitable theory upon which the claim is based.
6. INDEMNITY
6.1. You agree to indemnify, defend, hold harmless DHLPI, its directors, officers, employees, representatives, agents, and affiliates, from any and all third party claims, liability, damages and/or costs (including but not limited to, legal fees) arising from your use of the Program or your breach of these Terms.
7. CONFIDENTIALITY
7.1. A party (“Receiving Party”) shall keep in strict confidence all technical or commercial know-how, specifications, inventions, processes or initiatives which are of a confidential nature and have been disclosed to the Receiving Party by the other party (“Disclosing Party”), its employees, agents or subcontractors, and any other confidential information concerning the Disclosing Party’s business (including any personal data about its suppliers, vendors, customers and/or riders), its products and services which the receiving party may obtain. The Receiving Party shall only disclose such confidential information to those of its employees, agents and subcontractors who need to know it for the purpose of discharging the Receiving Party’s obligations under these Terms, and shall ensure that such employees, agents and subcontractors comply with the obligations set out in these Terms. The Receiving Party may also disclose such of the Disclosing Party’s confidential information as is required to be disclosed by law, any governmental or regulatory authority or by a court of competent jurisdiction.
8. PERSONAL DATA PROTECTION
8.1. You agree and consent to DHLPI and any of its affiliate companies collecting, using, processing and disclosing personal data in accordance with these Terms and as further described in our privacy policy. Our privacy policy is available via the links on the Website (as amended from time to time) and shall form a part of these Terms. By providing DHLPI with personal data, you warrant that you have obtained all necessary consent to disclose such personal data to DHLPI for the purpose of DHLPI’s provision of the Program.
You agree and consent to DHLPI and any of its affiliate companies sharing and disclosing to the Lender your personal information, particularly, your full name, mobile number, email address for the purpose of bridging/linking you to the Lender to obtain the applicable loan products.
9. INTELLECTUAL PROPERTY
9.1. All trademarks, logos, images, copyright, know-how, trade secrets, service marks, software, source and object code materials, program relating to the Program, whether registered or unregistered, are the intellectual property of DHLPI and/or third parties who have authorised us with the use (collectively the “DHLPI IP”). You may not use, copy, reproduce, republish, upload, post, transmit, distribute, or modify DHLPI IP in any way without our prior express written consent. The use of DHLPI IP on any other website or platform not approved by us is strictly prohibited. DHLPI will aggressively enforce its intellectual property rights to the fullest extent of the law, including criminal prosecution.
10. ASSIGNMENT
10.1. DHLPI may at any time assign, transfer, mortgage, charge, subcontract or deal in any other manner with all or any of its rights under this Terms and may subcontract or delegate in any manner any or all of its obligations under these Terms to any third party or agent.
11. AMENDMENT
11.1. DHLPI reserves the right to amend these Terms at any time at its sole discretion. The amended Terms shall be effective immediately and you agree to the new Terms by your continued use of the Program.
11.2. It is your responsibility to check the Terms regularly. If you do not agree with the amendments to the Terms, whether in whole or in part, you must stop using the Program immediately.
12. SEVERABILITY
12.1. If any provision of these Terms is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any provision in these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
13. GENERAL
13.1. These Terms and the Freelance Agreement (if any), constitutes the entire agreement between you and DHLPI and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations, and understandings between you and DHLPI, whether written or oral, relating to its subject matter. You agree that you shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in these Terms and the Freelance Agreement (if any).
13.2. These Terms, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with the laws of the Philippines.
13.3. Both you and DHLPI irrevocably agree that the courts of Taguig City, to the exclusion of all other courts, shall have sole and exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or its subject matter or formation (including non-contractual disputes or claims).
Tala will share aggregated loan data with foodpanda. This data will be limited to the number of users who 1) downloaded the Tala app and signed up for the program through this page and 2) disbursed the special offer. The aggregated data will not include any of your personal information, and will be used to assess the performance of this campaign.
