Tala Financing Philippines Inc. (“Tala”) offers fast, easy, and flexible loans to help you meet your needs. In partnership with Delivery Hero Logistics Philippines, Inc. (“foodpanda”), Tala is offering select foodpanda riders who have not yet created a Tala account a limited-time loan offer (“Special Loan Offer”). The mechanics of this offer are as follows:

  1. Tala is giving a Special Loan Offer of up to ₱5,000 to 20 (twenty) foodpanda riders. Eligible foodpanda riders will receive a notification from foodpanda that includes a link to the campaign landing page, a unique promo code (“Promo Code”), and a download link for the Tala app. Invited riders must click the link to go to the campaign landing page.
  2. The Promo Code is unique to you, non-transferable, and for one-time use only. Tala reserves the right to deny your Special Loan Offer and any subsequent loans if it is found that you shared your Promo Code with other users.
  3. This campaign landing page contains the mechanics and privacy notice of the Special Loan Offer. To avail of the Special Loan Offer, you need to click on the download button available in the page to download the Tala app from the website.
  4. Open the Tala App and create an account. After you confirm the one-time password and set up your PIN, the next screen will prompt you to enter a promo code. Enter the Promo Code received from foodpanda.
  5. This offer is only available for users who have not yet created a Tala account. If you have created a Tala account before, you will not be able to enter the Promo Code and avail of the Special Loan Offer.
  6. Once you enter the Promo Code, the Special Loan Offer of up to ₱5,000 together with the loan term and service fee shall be shown to you. You will be prompted to consent to the sharing of data between Tala and foodpanda. If you do not consent to the sharing of data, you will not be able to avail of the Special Loan Offer.
  7. You will then be prompted to submit your loan application details and go through the ID verification process.
  8. Please note that your application will still undergo review by Tala in compliance with anti-money laundering regulations. Your application may be rejected if you fail ID verification and/or your application is tagged as fraudulent.

These Terms and Conditions (“Terms”) shall govern the automated deduction program (“Program”) provided to you by Delivery Hero Logistics Philippines, Inc. (“DHLPI”) in collaboration with Delivery Hero Philippines, Inc. (“foodpanda”).

By enrolling in the Program, you confirm that you have read, understood, and accepted these Terms.

1. TERMS OF USE

1.1. DHLPI, in collaboration with foodpanda, shall make available an automated deduction program to enable you to have a better cash flow while having a hassle-free experience of paying off your loan from your selected partner financial institution (“Lender”).

1.2. To be able to enroll in the Program, you must:

  1. must be an active rider from the last 6 months
  2. no active compliance violations
  3. no existing asset deductions
  4. area of service: Metro Manila
  5. must pass Lender’s requirements and credit evaluation policy

1.3. If you enroll in the Program, you will be entitled to the following benefits: PhP5,000 Special Loan offer on your first Tala Loan

1.4. If you enroll in the Program, you authorize DHLPI to deduct the daily amortizations from your daily gross payout. You also agree to be bound until the entire loan amount, including interests, penalties, and other fees is fully settled (“Lock-In Period”). During the Lock-In Period, you shall not be allowed to opt-out of the Program unless you file the appropriate opt-out request via this form and such opt-out request is expressly acknowledged by DHLPI. You shall be deemed to have opted-out of the Program on the date of the email/acknowledgment of DHLPI. 

1.5. DHLPI shall have the right to amend, from time to time and without notice, the eligibility requirements and the benefits under the Program.

2. DHLPI’S and FOODPANDA’S OBLIGATIONS

2.1. DHLPI shall directly deduct the daily amortization from your payout and, through foodpanda, transfer the amortization to the Lender the amount due arising out of the loan agreement duly executed by you and the Lender.

3. TERM & TERMINATION

3.1. The validity of these Terms shall commence from the date of your acceptance of these Terms and shall continue unless terminated in accordance with these Terms.

3.2. The Terms may be terminated by DHLPI for convenience upon giving you not less than thirty (30) days’ prior written notice.

3.3. After the Lock-In Period, you may terminate the Terms for convenience upon giving DHLPI not less than thirty (30) days’ prior written notice. 

3.4. DHLPI, in its sole discretion, has the right to terminate the Terms immediately if you violate or breach any of the Terms.

4. REPRESENTATIONS & WARRANTIES

4.1. You acknowledge and agree that the Program is provided on an “as is” and “as available” basis, and that your use of or reliance upon the Program is at your sole risk and discretion. We do not warrant or represent that the Program shall be provided in a manner which is secure, timely, uninterrupted, error-free, free of technical difficulties or defects. 

4.2. You acknowledge and agree that notwithstanding anything to the contrary provided in these Terms: (a) DHLPI is not a guarantor, surety, and/or a party to the loan agreement that you execute with the Lender. Thus, any dispute or issues arising from the loan agreement, and the use/access to the features of the Lender’s mobile application, if any, including but not limited to, account breach, technical errors, transaction issues, commissions generated from the income generating functionalities, and general application usability issues, must be resolved directly with the Lender; (b) DHLPI shall not be liable for any delay, claim, loss or damage which results from your, your employees, agents or subcontractor, or third-party’s breach of any term of these Terms and/or fraud, negligence, default, omission or action;  and (c) DHLPI reserves the right to vary or amend these Terms, without notice, or withdraw or discontinue the Program at any time without any notice or liability to you or any party. 

4.3. You represent and warrant that:

  1. You have the requisite capacity and power to execute, deliver, and perform these Terms;
  2. You have obtained and shall maintain any and all licenses, permits and registrations required under any applicable law to conduct your business; and
  3. You have duly and validly executed and delivered these Terms and these Terms constitutes your legal, valid, and binding obligation, enforceable against you in accordance with its terms.

4.4. You agree and undertake that you shall use the Program in accordance with these Terms and the applicable terms and conditions of Lender, from time to time.

4.5. You shall be solely liable for any loss or damage suffered by DHLPI, its representatives, agents and affiliates or any third party as a result of any breach of these representations and warranties.

5. LIMITATION OF LIABILITY

5.1. To the extent permitted by law, DHLPI (which shall include its employees, directors, agents, representatives, affiliates and parent company) excludes all liability (whether arising in contract, in negligence or otherwise) for loss or damage which you or any third party may incur in connection with the Program and any website linked to our platforms and any content or material posted on it. DHLPI, its subsidiaries and affiliates, (“DHLPI Entities”), and their respective agents, representatives, and service providers shall not be liable for any indirect, special, incidental, consequential, or exemplary damages arising from your use of the Program or for any other claim related in any way to your use of the Program. These exclusions for indirect, special, consequential, and exemplary damages include, without limitation, damages for lost profits, lost data, loss of goodwill, work stoppage, computer failure, or malfunction, or any other commercial damages or losses, even if the DHLPI Entities, their agents, representatives, and service providers have been advised of the possibility thereof and regardless of the legal or equitable theory upon which the claim is based.

6. INDEMNITY

6.1. You agree to indemnify, defend, hold harmless DHLPI, its directors, officers, employees, representatives, agents, and affiliates, from any and all third party claims, liability, damages and/or costs (including but not limited to, legal fees) arising from your use of the Program or your breach of these Terms.

7. CONFIDENTIALITY

7.1. A party (“Receiving Party”) shall keep in strict confidence all technical or commercial know-how, specifications, inventions, processes or initiatives which are of a confidential nature and have been disclosed to the Receiving Party by the other party (“Disclosing Party”), its employees, agents or subcontractors, and any other confidential information concerning the Disclosing Party’s business (including any personal data about its suppliers, vendors, customers and/or riders), its products and services which the receiving party may obtain. The Receiving Party shall only disclose such confidential information to those of its employees, agents and subcontractors who need to know it for the purpose of discharging the Receiving Party’s obligations under these Terms, and shall ensure that such employees, agents and subcontractors comply with the obligations set out in these Terms. The Receiving Party may also disclose such of the Disclosing Party’s confidential information as is required to be disclosed by law, any governmental or regulatory authority or by a court of competent jurisdiction.

8. PERSONAL DATA PROTECTION

8.1. You agree and consent to DHLPI and any of its affiliate companies collecting, using, processing and disclosing personal data in accordance with these Terms and as further described in our privacy policy. Our privacy policy is available via the links on the Website (as amended from time to time) and shall form a part of these Terms. By providing DHLPI with personal data, you warrant that you have obtained all necessary consent to disclose such personal data to DHLPI for the purpose of DHLPI’s provision of the Program.
You agree and consent to DHLPI and any of its affiliate companies sharing and disclosing to the Lender your personal information, particularly, your full name, mobile number, email address for the purpose of bridging/linking you to the Lender to obtain the applicable loan products.

9. INTELLECTUAL PROPERTY

9.1. All trademarks, logos, images, copyright, know-how, trade secrets, service marks, software, source and object code materials, program relating to the Program, whether registered or unregistered, are the intellectual property of DHLPI and/or third parties who have authorised us with the use (collectively the “DHLPI IP”). You may not use, copy, reproduce, republish, upload, post, transmit, distribute, or modify DHLPI IP in any way without our prior express written consent. The use of DHLPI IP on any other website or platform not approved by us is strictly prohibited. DHLPI will aggressively enforce its intellectual property rights to the fullest extent of the law, including criminal prosecution.

10. ASSIGNMENT

10.1. DHLPI may at any time assign, transfer, mortgage, charge, subcontract or deal in any other manner with all or any of its rights under this Terms and may subcontract or delegate in any manner any or all of its obligations under these Terms to any third party or agent.

11. AMENDMENT

11.1. DHLPI reserves the right to amend these Terms at any time at its sole discretion. The amended Terms shall be effective immediately and you agree to the new Terms by your continued use of the Program.

11.2. It is your responsibility to check the Terms regularly. If you do not agree with the amendments to the Terms, whether in whole or in part, you must stop using the Program immediately.

12. SEVERABILITY

12.1. If any provision of these Terms is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any provision in these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

13. GENERAL

13.1. These Terms and the Freelance Agreement (if any), constitutes the entire agreement between you and DHLPI and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations, and understandings between you and DHLPI, whether written or oral, relating to its subject matter. You agree that you shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in these Terms and the Freelance Agreement (if any).

13.2. These Terms, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with the laws of the Philippines.

13.3. Both you and DHLPI irrevocably agree that the courts of Taguig City, to the exclusion of all other courts, shall have sole and exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or its subject matter or formation (including non-contractual disputes or claims).

      1. Saan ko makikita ang promo code ko para ma-avail ang special offer na ito? Makikita mo ito sa SMS na ipapadala ng foodpanda sa’yo. Unique ang promo code an ito sa’yo at valid lang para sa isang gamitan kaya ingatan ito at ‘wag i-share sa iba.Tandaan, kailangang i-enter muna ang promo code pagkatapos mag-set ng PIN sa Tala app at bago simulan ang mismong loan application.
      2. How can I apply with Tala? The loan offer by Tala in partnership with foodpanda is a new product initially available to a select group of riders. Eligible applicants will be invited to apply directly through SMS and in-app notifications on your foodpanda rider app. Special requests to be included in the program are currently not accepted since eligibility is based on predetermined criteria.
      3. How long is the repayment period? You can select up to a maximum of 61 days.
      4. How much can I borrow and what are the fees? The maximum amount that you can borrow for the first offer is ₱5,000. You can choose to borrow a lower amount if you need less.

      5. Each time you borrow, the following fees will apply:
        • 3.99% one-time processing fee
        • 0.43% daily service fee until a maximum of 61 days

      6. What are the requirements to apply for a Tala loan? The requirements are simple. You only need the following to apply:
        • 1 valid ID
        • 1 Android smartphone
        • Stable internet connection
        Please ensure that you are the owner of the smartphone and that a Tala account hasn’t previously been linked to it.

      7. What can I do with a Tala loan? These are multi-purpose cash loan which can be used for personal or small business needs such as utility bills, education, small business capital, home upgrades, and many more.

      8. How will I know if I am eligible for the auto-repayment program? All riders who are invited to sign up for the special Tala loan are eligible for the auto-repayment program. Once you successully cash out the loan from Tala, auto-repayment by foodpanda will your default payment method. This means that loan repayment will be done by making daily deductions from your daily rider earnings.

      9. Paano ang auto-deduction na gagawin sa foodpanda wallet ko? Simula sa araw ng pag-cash out hanggang sa repayment date mo, automatic na ibabawas sa foodpanda rider wallet mo ang daily installment na pambayad sa Tala.Sit back and relax dahil wala ka nang kailangan asikasuhin. Hassle-free diba? Tip: Siguraduhing sapat ang balanse ng rider wallet mo para maiwasang maabala.

      10. How does repayment of my Tala loan work? If you signed up to this program, foodpanda will automatically deduct the loan amortization from your daily rider earnings. If your repayment date has passed and you still have a remaining balance, you must continue making direct payment to Tala until the loan is fully paid.

      11. When does foodpanda apply the deductions for the loan amotization? The amortization will be applied to your deductibles daily except weekends and holidays.

      12. How much will the daily amortization be? The daily amortization will be based on the following:
        • Your repayment date
        • Total loan amount to be repaid

        Sample Loan Computation:
        • Principal Amount: ₱5,000
        • Loan Term: 30 days
        • Total Repayment Amount: ₱5,750

        If the 30-day loan term has 10 weekends:
        • Amortization will be applied for 20 days
        • Amortization per day: ₱287.5

        If your daily running rider earning is ₱500
        • ₱287.5 will be applied to your daily deductibles to repay your Tala loan

        *This is just a sample and may vary depending on your loan terms.

      13. Magkano ang ibabawas sa foodpanda wallet ko araw-araw? Katumbas ito ng araw-araw na paghulog para makumpleto ang repayment ng Tala loan mo. For example:
        • Humiram ka ng ₱5,000 at ang pinili mong repayment date ay 30 days.
        • Ang kabuuan na babayaran mo ay ₱5,750.
        • Ang daily auto-deduction sa rider wallet mo ang gagawin for 20 days lang (30 days dapat, pero dahil may 10 days na weekends, kaya 20 days lang ang mga araw na may ibabawas sa rider earnings mo).
        • Ibig sabihin, ₱287.5 ang ibabawas sa rider wallet mo kada araw para ma-kumpleto ang repayment.

      14.  Where can I see the daily deductions? You can see it in your foodpanda rider app. The daily deductions will reflect under Payments > Current Activity / Past Activity. The deduction will be tagged under adjustments.

      15. After the daily amortization is deducted from my earnings, where and when will my loan repayment be posted? Your payment will be posted on the Tala app at 9am of the next day. You can check your remaining loan balance by opening your Tala app and tapping “Make a payment”.

      16. What will happen to my daily loan auto-repayment if I am unable to make deliveries for a specific day? The daily deduction from your rider account is based on your daily delivery activities. In case that you are unable to go online and receive delivery orders on a certain day, the daily amortization amount will be added to the deductibles for the next business day.

      17. Can I change the auto-repayment schedule? Currently, the repayment and schedules and timings are fixed.

      18. Can I pay the remaining loan balance earlier? We don’t encourage this since the auto-repayment program is meant to make the payment process easier and worry-free for you. But yes, you can pay your loan balance directly to Tala. If you wish to opt-out of the auto-repayment program and repay the remaining loan balance directly to Tala, please click on this link and fill-up the form.

      19. Can I receive a loan offer multiple times? Yes, it is possible to receive loan offers but only one active loan is allowed at at time.

      20. What will happen if I am unable to complete the repayment within the loan term? Please try your best to pay in full by your selected repayment date. If your repayment date passes and you still have a balance, your daily service fee will continue to apply. We encourage you to pay as soon as you can, so that you can stay closer to your original total payment amount. If you wait longer, a one-time late fee will eventually be applied. Also just a reminder that having an overdue balance impacts your credit record and can affect your eligibility to avail essential services from other providers.

      21. Paano kung may natira pa akong balanse sa Tala pagkatapos ng auto-deduction period? Kung may natirang balanse after ng auto-deduction, pwede mo itong bayaran sa mga authorized payment channels ng Tala.

        • E-Wallets: Tala Wallet, GCash, Coins.ph, Maya, ShopeePay, or Lazada

        • Authorized Payment Centers: 7-Eleven, Cebuana Lhuillier, and ECPay Partner Outlets

        •  Why didn’t I receive a loan invite link? Currently the loan offered by Tala in partnership with foodpanda is only available to a limited number of riders. We will release additional communications once the program is available to more customers.

      22. I received an invite link for a Tala loan. Until when is it valid? The invite link + promo code is valid for 2 months and is limited to the first 20 sign-ups only. Once the maximum number of users has claimed the loan offers, succeeding registrations will no longer be accommodated.

      23. How can I contact Tala kung may katanungan ako? Kung kailangan ng tulong, please contact us through gotala.co/help.

Tala will share aggregated loan data with foodpanda. This data will be limited to the number of users who 1) downloaded the Tala app and signed up for the program through this page and 2) disbursed the special offer. The aggregated data will not include any of your personal information, and will be used to assess the performance of this campaign.
